Paralegal (Administrative)



MITUTOYO AMERICA CORPORATION is currently seeking a Corporate Paralegal to help support the company's legal function. The Paralegal will work directly with our General Legal Counsel in reviewing and drafting contracts, managing multiple projects/workflows and deadlines, and performing contract administration/contract management responsibilities.  The candidate will have multiple skill sets and must be creative in crafting solutions to challenging situations.  The ideal candidate for this position is organized, professional, responsible, and committed to helping us meet all our legal needs in a fast-paced environment and has demonstrated ability to work under pressure.  The candidate must, relate to people in a variety of challenging situations, exercise discretion and have good judgment.

Essential Job Functions

  1. Prepares, reviews and administers contracts, agreements and other documents.
  2. Performs contract administration and management in accordance with company policies and legal requirements.
  3. Complete Health, Safety and Environment Surveys as needed.
  4. Ensure compliance with OSHA Log and Training standards.
  5. Negotiates contracts with business teams.
  6. Advises management of contractual rights and obligations.
  7. Facilitates and maintains corporate filings and records.
  8. Perform basic legal research and data analysis.
  9. Manage projects as identified by General Legal Counsel.
  10. Provide a broad range of support for Legal department and the company including timely collection and accurate completion of documents required and follow up with relevant parties to meet deadlines and/or other expected conditions.
  11. Assist internal and external stakeholders in case of questions to ensure an overall alignment between all involved parties, so they comply with respective contract terms.
  12. Provide assistance/data to External Attorneys as needed.

  •  Ability to master Excel spreadsheets, databases, e-filing, presentation software and other office software.

  •  Willingness to learn new laws, along with compliance laws on imports and exports.

Supervisory Responsibilities:  There are no supervisory responsibilities associated with this position.

Work Environment:  Office Environment.

Physical Demands: The person in this position needs to occasionally move about inside the office to access file cabinets, office machinery, etc.  

Position Type and Expected Hours of Work: This is a full-time position. Monday – Friday 8:30AM-5:00PM

Travel: There is no travel associated with this position.

Required Education and Experience:  A Bachelor's degree or Paralegal Certificate from an ABA approved paralegal studies program and/or equivalent work experience. Three to five years in a corporate law department, law firm or equivalent experience. Demonstrated leadership and critical thinking experience. Paralegal certificate preferred.  Export Compliance experience a plus, but not required. 

Knowledge of technical legal terminology and proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook). Working knowledge of Enterprise Resource Planning, Customer Relationship Management software and other organization, legal and compliance software programs.
