SENIOR PARALEGAL – Pharma – (Hybrid) (Education)



Shionogi Inc. is seeking a Senior Paralegal to support its Legal Department. The primary responsibilities of the position will be to draft, review, negotiate and revise contracts on an independent basis.  Additional responsibilities will include support activities for strategic transactions, data privacy initiatives, and other projects, as needed.  The Senior Paralegal would primarily support the VP, Corporate & Transactional Counsel and the Senior Pharmaceutical Counsel but would have accountability to the entire department. 

RESPONSIBILITIES

  • Establish and foster effective working relationships with the business, maintaining an up-to-date understanding of the business and its products to effectively analyze its risk tolerance under applicable circumstances.
  • Draft, review, negotiate and revise Master Services Agreements, Task Orders/Statements of Work, Change Orders/Amendments, Consulting Agreements, CDAs, and other agreements for multiple departments on a timely basis, exercising independent judgment and escalating complex legal issues to attorneys for resolution when necessary.
  • Respond to inquiries from the business regarding new and existing agreements, interpreting contract terms and obligations, as needed.
  • Support Data Privacy Officer in the company's efforts to comply with changing data privacy laws/regulations; and assist with training initiatives and materials relating to new privacy updates.
  • Review Consulting Agreements and related Descriptions of Work for HCP and KOL engagements to ensure compliance with Company policies and SOPs.
  • Assist with the corporate administration and ongoing compliance for legal entities.
  • Conduct legal research and assist with legal department special projects, as needed. 

REQUIREMENTS

  • Bachelor's degree and Paralegal certificate.
  • Minimum seven (7) years of experience as a corporate paralegal with hands-on experience drafting and negotiating contracts.
  • Pharmaceutical industry experience required.
  • Proficiency with Microsoft Office (Word, Excel, PowerPoint, and Outlook) and general business software/applications. Excellent written and verbal communication skills with the ability to prioritize work assignments and adjust as needed.
  • Must be service-oriented toward the business and demonstrate a positive, “can do” attitude.
  • Must have strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company.
  • Must demonstrate maturity and initiative and be able to work both independently and on teams.
  • Must be able to maintain the integrity of confidential and sensitive information in a professional manner.
  • Hybrid work arrangements will allow work from home combined with your presence on-site 2-3 days/week (when not traveling) at our US HQ in Florham Park, NJ.  

ESSENTIAL PHYSICAL REQUIREMENTS

  • Ability to articulate clearly and conduct verbal presentations with large and small audiences.
  • Ability to travel via automobile and/or airplane.
  • Ability to view video display terminal images < 18” away from face for extended period of time – up to four (4) hours at a time.
  • Ability to operate a computer keyboard and telephone.
  • Ability to sit for extended periods of time – up to four (4) hours at a time.
  • Ability to lift, tug, pull up to fifteen (15) pounds.
