*****This role is open to a remote candidate, with their ideal location in the greater Midwest region, as it will require periodic travel to the corporate office in Milwaukee, WI*****

Primary Purpose:

Reports to the Legal Director and works collaboratively with the Corporate Tax Department's international planning team to provide legal support (i.e. coordinating legal step plans, preparing and reviewing complex legal documents (including agreements, resolutions, certifications, and registrations), communicating with outside legal counsel and internal stakeholders, etc.) for the implementation of cross-jurisdictional restructuring initiatives and to ensure compliance with relevant corporate laws.   Note that the Group Counsel position is corporate transactional and corporate governance in nature.  No tax law knowledge is required.

Summary of Responsibilities:

1) Lead and manage corporate implementation of international, cross-jurisdictional restructuring transactions (e.g., mergers, entity formations, conversions and dissolutions, capital contributions, distributions, sale of shares, and sale of assets), including:

  • Identify and troubleshoot threshold legal issues to the implementation of a transaction

  • Draft and/or review legal documents

  • Manage outside legal counsel and review deliverables

  • Manage the coordination of internal, cross-functional (e.g., corporate legal, tax, treasury, and accounting) processes needed for project implementation

  • Ensure all necessary corporate legal requirements are satisfied, and coordinate closing files

2) Assist as needed with review and drafting agreements on commercial matters including transfer pricing compliance, licensing and royalty structures, intercompany financings, and other global operating matters

3) Create and identify synergies and efficiencies for project implementation

Job Specifications:

  • JD from an ABA accredited law school, and admission to 1 state bar

  • 5+ years minimum applicable experience

  • Law firm experience in a corporate/M&A department is a plus

  • Exceptional organizational skills
